A public notice has been released by the Pakistan Telecommunication Authority (PTA) to solicit feedback on the proposed transfer of Telenor Pakistan (Private) Limited’s licenses to Pakistan Telecommunication Mobile Limited (PTML) and the eventual merger of the two companies.
As per the proposal, PTML will continue to exist when the regulatory procedure is over.
A formal application seeking approval for the transfer of Telenor Pakistan’s mobile cellular licenses to PTML has been received by PTA, the notice states.
Telenor Pakistan’s mobile licenses, operations, assets, liabilities, rights, and obligations in Pakistan, Azad Jammu & Kashmir, and Gilgit-Baltistan would be transferred and vested in PTML, contingent on regulatory approvals. After the merger is finalized, Telenor Pakistan will no longer function as a distinct licensed organization.
This comes after Pakistan Telecommunication Company Limited (PTCL) finalized a 100 percent acquisition of Telenor Pakistan on December 31, 2025. In order to combine Telenor Pakistan with its mobile business, PTML, which uses the Ufone brand, PTCL later filed a merger application with PTA. Telenor Pakistan continues to operate as a distinct legal corporation throughout the transition phase.
It is anticipated that regulatory bodies will examine the proposed merger in light of consumer interests, spectrum concentration, and market competitiveness. Before the consolidation can be completed following PTA’s judgment, the Securities and Exchange Commission of Pakistan (SECP) must grant further approvals and obtain judicial permission through a Scheme of Arrangement.
Within seven days of the notice’s publication, PTA has asked telecom users, stakeholders, interested and impacted parties, and members of the public to provide written opinions. Submissions can be sent via the email address listed in the public notice or to the Director General (Wireless Licensing) at PTA Headquarters in Islamabad.
